Terms of Service

These Terms govern your use of nexidy.ai. Work Nexidy does for you is governed by the scope agreed in writing for it and by section 4 below.

1. What Nexidy is

Nexidy ("Nexidy", "we", "us") operates nexidy.ai; nexidy.com and our other domains redirect to it. Nexidy does DevOps for PostgreSQL and MySQL and the Linux servers, Docker and nginx they run on. These Terms govern your use of the site. Using the site means you accept them; if you do not, do not use the site. We may update these Terms and will note the date above when we do.

2. Acceptable use

Use the site only lawfully. In particular, do not:

3. The retired forum

The nexidy.com forum is closed to the public. Content its members posted stays theirs; we keep it privately and do not republish it. The Privacy Policy says how its account data is kept and how a member can have it deleted.

4. Work Nexidy does for you

Each piece of work is scoped and priced in writing before it starts. The price is quoted to the scope; there is no public price list.

Hamed Kabir reviews and signs off every deliverable before it reaches you. Nothing changes on your production systems without your approval.

We take no on-call and make no response-time promise. We give no guarantee of security, compliance, uptime or cost savings.

Where a job needs an engineer from outside Nexidy, the written scope says so before work starts, along with whom you contract with and pay. Such engineers are independent third parties, not our employees or agents, and not authorised to speak for us. Unless agreed with us in writing, an engagement with one of them is between you and the engineer, and we do not adjudicate disputes between you.

If your company restricts how AI tools may be used on its systems, say so when we scope the work. You will get a plain answer about how the work would be done, and if we cannot meet your rule, we will decline the work.

5. Intellectual property

The site, its design and its content are ours or our licensors'. You may read, print and download for your own use; you may not resell, republish or exploit the site or its content commercially without our written permission, and attribution must stay intact.

What we produce for you under a paid engagement (configuration, scripts, runbooks, diagrams and documentation) is yours once it is paid for, and is handed over rather than held.

6. No warranty

The site and services are provided "as is" and "as available". To the fullest extent the law permits, we disclaim all implied warranties, including merchantability and fitness for a particular purpose, and we do not warrant uninterrupted or error-free operation.

7. Liability

Your use of the site, including any reliance on its content, is at your own risk. To the fullest extent the law permits, we are not liable, in contract, tort or otherwise, for loss of profits, sales, business, revenue, data, opportunity, goodwill or any indirect or consequential loss. Nothing in these Terms excludes liability for death or personal injury caused by our negligence, for fraud, or for anything the law does not allow to be excluded.

8. Indemnity

You will hold us and those who work with us harmless from claims, losses and reasonable legal costs arising out of your breach of these Terms or your unlawful use of the site.

9. Suspension and termination

We decide, acting reasonably, whether these Terms have been breached, and may respond with whatever is proportionate: a warning, temporary or permanent withdrawal of access, disclosure to law enforcement where genuinely required, or legal action.

10. General

We may transfer our rights and obligations under these Terms; you may transfer yours only with our written agreement. These Terms do not create any partnership, agency or employment relationship. If part of these Terms turns out unenforceable, the rest stands. Not enforcing a right is not a waiver of it. These Terms and the documents they reference are the entire agreement between us about the site.

11. Governing law

These Terms are governed by the law of the United States. If a dispute arises, both sides first talk in good faith for sixty days; failing resolution, the courts of the United States have exclusive jurisdiction.
